These Terms of Service ("Terms") are a legally binding agreement between you and Vesta Prosperity PBC, a Delaware public benefit corporation with offices at 150 Court St, Brooklyn, New York 11232 ("Vesta," "we," "us," or "our"). These Terms govern your access to and use of the Vesta website, applications, and services (collectively, the "Services").

Vesta does not act as a bank, broker-dealer, or custodian. Financial products are offered and held by independent third-party financial institutions. Vesta facilitates access to these services but is not responsible for the underlying financial products.
The Services provide information, tools, and access to financial and tax services. Nothing in the Services constitutes tax, legal, accounting, or investment advice. Vesta does not recommend specific investments, accounts, tax positions, or strategies.
You remain solely responsible for your financial and tax decisions. We strongly recommend consulting a licensed tax professional, attorney, or financial advisor for guidance specific to your situation.
To use the Services, you must be 18 years of age or older, or be accessing the Services on behalf of a minor as their parent or guardian. You must provide accurate, current, and complete information during registration and keep your account information updated.
You authorize Vesta to verify your identity, tax status, and financial information as required by law, including through Know Your Customer (KYC), Anti-Money Laundering (AML), and IRS verification processes.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at hello@growwithvesta.com if you suspect unauthorized access.
By using Vesta to apply for or manage financial accounts (savings accounts, IRAs, or other financial products), you authorize Vesta and its partners to collect, transmit, and process:
Separate terms and agreements with the applicable bank, credit union, or IRA custodian will govern those accounts. You should review those agreements carefully before opening any financial account.
Vesta partners with nonprofit organizations, VITA sites, banks, credit unions, IRA custodians, and technology providers to deliver services. These partners are independently responsible for the services they provide. Vesta is not liable for the acts, omissions, or performance of any third-party partner.
Your use of a partner's services may be subject to that partner's own terms and privacy policies. We encourage you to review those policies.

All content, software, trademarks, service marks, logos, and materials on the Vesta platform belong to Vesta or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Vesta content without express written permission.
You retain ownership of any personal information you submit to the platform. By submitting content or data through the Services, you grant Vesta a limited, non-exclusive license to use that information as described in our Privacy Policy.
Vesta may suspend or terminate your access to the Services at any time, with or without notice, for:
You may close your account at any time by contacting us at hello@growwithvesta.com. Note that closing your Vesta account does not close financial accounts held at partner institutions — you must contact those institutions separately.
Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, and governing law) will survive.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. VESTA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Vesta makes no guarantees regarding tax outcomes, ITIN approval decisions, refund amounts, credit decisions, or the performance of any financial account or investment. ITIN approval is at the sole discretion of the IRS. Financial product approvals are at the discretion of partner institutions.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VESTA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF VESTA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL VESTA'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNTS YOU PAID TO VESTA IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.
These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms or the Services must be brought exclusively in the state or federal courts located in Kings County (Brooklyn), New York.
You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
Vesta may update these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with an updated "Last modified" date. For significant changes, we may also notify you by email.
Your continued use of the Services after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.
